1. Introduction
These Terms of Service ("Terms") govern your use of Yield, an AI-powered conversational lead generation platform for estate and letting agencies, operated by Deploy IQ Ltd, a company registered in England and Wales (Company No. 16245066) ("we", "us", "Yield").
By subscribing to or using the Yield service, you ("Client", "you") agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or organisation, you represent that you have the authority to bind that entity.
These Terms should be read alongside our Data Processing Agreement and Privacy Policy, which form part of the agreement between us.
2. Service Description
Yield provides an AI-powered conversational chatbot that is embedded on your website. The chatbot engages with your website visitors, qualifies property enquiries, captures lead information, and books appointments on your behalf.
The service includes:
- AI chatbot widget installed on your website;
- Lead capture, qualification, and delivery via your chosen CRM or email;
- Appointment and viewing booking functionality;
- Dashboard access for conversation history and lead reporting;
- Ongoing maintenance, updates, and support.
We may update or improve the service from time to time. We will notify you of any material changes that affect your use of the service.
3. Account Registration
3.1
To use Yield, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials.
3.2
You must be at least 18 years old and have the legal capacity to enter into a binding agreement. The service is intended for use by businesses, not consumers.
3.3
You are responsible for all activity that occurs under your account. You must notify us immediately at support@deployiq.co.uk if you become aware of any unauthorised use.
4. Minimum Term
4.1
All Yield subscriptions are subject to a minimum commitment of six (6) months from the date of activation. No free trial is offered.
4.2
You may cancel your subscription after the minimum term by giving at least 30 days' written notice before your next billing date. Cancellation requests should be sent to support@deployiq.co.uk.
4.3
If you cancel before the end of the minimum term, you remain liable for all fees due for the remainder of that term.
5. Fees and Payment
5.1 Subscription Fees
The Yield service is provided on a monthly subscription basis. Current pricing is published on our website at yieldproperty.co.uk. All fees are exclusive of VAT, which will be added where applicable.
5.2 Payment
Payment is collected in advance via Stripe. By subscribing, you authorise us to charge your nominated payment method on a recurring monthly basis. You are responsible for ensuring your payment details are accurate and up to date.
5.3 Late Payment
If we are unable to collect payment, we may suspend access to the service after providing reasonable notice. Access will be restored once payment is received.
5.4 Price Changes
We may adjust pricing with at least 30 days' written notice. Price changes will take effect at the start of your next billing cycle following the notice period.
6. Your Obligations
You agree to:
- Use the service only for lawful purposes and in compliance with all applicable laws and regulations, including the Property Ombudsman Code of Practice and Estate Agents Act 1979;
- Ensure that appropriate privacy notices are displayed on your website informing visitors that an AI chatbot is in use and that their data will be processed;
- Provide accurate property listing data and business information to the service;
- Not attempt to reverse-engineer, copy, modify, or create derivative works based on the service;
- Not use the service to transmit harmful, misleading, or unlawful content;
- Not resell, sublicense, or provide access to the service to third parties without our written consent;
- Comply with all applicable data protection legislation, including UK GDPR and the Data Protection Act 2018.
7. Intellectual Property
7.1
All intellectual property rights in the Yield platform, including software, design, algorithms, models, and documentation, remain the property of Deploy IQ Ltd.
7.2
We grant you a limited, non-exclusive, non-transferable licence to use the service for the duration of your subscription, solely for the purpose of generating and managing leads for your estate or letting agency.
7.3
You retain ownership of your property listing data and business information. You grant us a licence to use this data solely for the purpose of providing the service to you.
7.4
Conversation data generated through the chatbot on your website belongs to you. We may use anonymised, aggregated data to improve the service, but will not share identifiable data with third parties except as set out in our Data Processing Agreement.
8. Data Protection
8.1
We process personal data on your behalf as a Data Processor. The terms governing this processing are set out in our Data Processing Agreement, which forms part of these Terms.
8.2
You act as the Data Controller and are responsible for ensuring that your use of the service complies with Data Protection Laws, including obtaining any necessary consents and displaying appropriate privacy notices.
8.3
A list of our current sub-processors is maintained in Section 6.4 of the Data Processing Agreement. By accepting these Terms, you provide general authorisation for the use of these sub-processors, subject to the change notification process described therein.
9. Service Availability
9.1
We will use commercially reasonable efforts to ensure the service is available 24 hours a day, 7 days a week. However, we do not guarantee uninterrupted availability and shall not be liable for any downtime caused by maintenance, updates, or circumstances beyond our reasonable control.
9.2
We will endeavour to provide reasonable notice of planned maintenance that may affect the service.
10. Support
Support is available via email at support@deployiq.co.uk during business hours (Monday to Friday, 9am–5pm GMT, excluding UK bank holidays). We aim to respond to support enquiries within one working day.
11. Limitation of Liability
11.1
To the fullest extent permitted by law, our total aggregate liability to you under or in connection with these Terms shall not exceed the total fees paid by you in the 12 months immediately preceding the event giving rise to the claim.
11.2
We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, business opportunities, data, or goodwill.
11.3
The service uses artificial intelligence to generate responses. While we take reasonable steps to ensure the accuracy and quality of chatbot interactions, we do not guarantee that all responses will be error-free. You acknowledge that AI-generated content may occasionally be inaccurate and agree that we shall not be liable for any loss arising from such inaccuracies.
11.4
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under English law.
12. Indemnification
You agree to indemnify and hold harmless Deploy IQ Ltd, its directors, employees, and agents from and against any claims, damages, losses, or expenses (including reasonable legal fees) arising out of or relating to your breach of these Terms, your misuse of the service, or your violation of any applicable law or regulation.
13. Term and Termination
13.1 Term
These Terms take effect when you create an account or begin using the service and continue until terminated by either party.
13.2 Cancellation by You
You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial billing periods.
13.3 Termination by Us
We may suspend or terminate your access to the service immediately if:
- You breach any material term of these Terms;
- You fail to pay fees when due after reasonable notice;
- You use the service in a manner that could damage, disable, or impair the service or interfere with other users;
- We are required to do so by law.
13.4 Effect of Termination
Upon termination, your right to use the service ceases immediately. We will handle your data in accordance with the Data Processing Agreement, including returning or deleting your personal data within 30 days of your request.
14. Force Majeure
Neither party shall be liable for any delay or failure in performance caused by circumstances beyond its reasonable control, including but not limited to natural disasters, war, terrorism, strikes, government actions, power failures, internet or telecommunications failures, or pandemics.
15. Changes to These Terms
We may update these Terms from time to time. We will notify you of any material changes by email or through the service at least 14 days before they take effect. Your continued use of the service after the changes take effect constitutes acceptance of the updated Terms. If you do not agree with the changes, you may cancel your subscription before they take effect.
16. General
16.1 Entire Agreement
These Terms, together with the Data Processing Agreement and Privacy Policy, constitute the entire agreement between you and Deploy IQ Ltd in relation to the Yield service.
16.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
16.3 Waiver
No failure or delay by either party in exercising any right under these Terms shall constitute a waiver of that right.
16.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
16.5 Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
